1. Definitions
- “Company” refers to Translog Group Ltd.
- “Client” refers to the contracting customer receiving telematics hardware, software, or services.
- “Equipment” refers to tracking devices, fuel sensors, cameras, BLE sensors, smart fuel caps, accessories, and any related hardware supplied by the Company.
- “Services” refers to hosting, monitoring, installation, calibration, maintenance, and software platform access.
2. Scope of Supply
Translog Group Ltd. shall supply the Equipment and Services as detailed in the official quotation or proposal issued to the Client. Any additional services not specified will attract separate charges.
3. Pricing & Validity
- All prices are stated in Kenya Shillings (Kshs.) or United States Dollars (USD) unless otherwise indicated.
- Prices are exclusive of VAT.
- Quotations are valid for 14 days from the date of issue.
4. Payment Terms
- 70% deposit is required upon order confirmation to initiate supply, scheduling, and installation.
- The remaining 30% balance is payable immediately upon completion of installation and commissioning.
- Recurring service fees (hosting, data, platform access) are payable in advance, according to the frequency stated (monthly, quarterly, semi-annual, or annual).
- All overdue invoices attract:
- 5% monthly interest, or
- The maximum allowable by law,
whichever is lower.
- Equipment remains the property of Translog Group Ltd. until full payment is received.
5. Delivery & Installation
- Delivery timelines shall begin after receipt of the 70% deposit.
- Installations are scheduled in coordination with the Client and are dependent on vehicle availability.
- Any delays caused by unavailability of vehicles, site access, or Client-side logistics may affect delivery timelines and may attract additional costs.
6. Training
Translog Group Ltd. provides the following training structure:
6.1 Free Initial Training
- One free onboarding session for system administrators and fleet managers.
- Covers platform navigation, reporting, alerts, driver behavior insights, and device functionality.
6.2 Subsequent Training
- Virtual training: Provided free of charge.
- Onsite training: Chargeable at the prevailing call-out rate, agreed prior to scheduling.
7. Warranty
- All hardware comes with a 12-month manufacturer’s warranty against manufacturing defects.
- Warranty does not cover:
- Physical damage
- Water damage
- Tampering or unauthorized removal
- Incorrect use or unapproved accessory installation
- Electrical surges beyond normal vehicle operating range
- Warranty claims must be submitted in writing and accompanied by inspection results.
8. After-Sales Support
- Helpdesk support is available 24/7 for critical issues and incidents.
- Non-emergency support is available during business hours.
- Onsite support is chargeable except where covered by an active Annual Maintenance Contract (AMC).
9. Annual Maintenance Contract (AMC)
If purchased, AMC covers:
- Preventive maintenance
- Health checks on installed hardware
- Priority support
- Discounted onsite rates
AMC does not cover:
- Hardware replacement
- Damage due to misuse, accidents, or tampering
10. Data Hosting & Connectivity
- Hosting fees include system access, cloud storage, and data usage as per plan.
- SIM data costs are included only if specified in the quotation.
- The Company is not liable for disruptions caused by:
- Mobile network outages
- Internet downtimes
- Power failures
- Force majeure events
11. Telematics Industry–Specific Terms
11.1 Equipment Removal or Transfer
- Device removal or transfer to another vehicle is chargeable.
- Translog Group Ltd. must perform all removals; third-party removal voids warranty.
11.2 Fuel Sensor Calibration
- Calibration is mandatory for accurate readings and is charged separately.
- Accuracy depends on tank condition, cleanliness, and shape; Translog Group Ltd. shall not be liable for inaccuracies caused by tank inconsistencies or modifications.
11.3 Video Telematics Storage
- Cloud storage duration is based on the hosting plan purchased.
- Additional storage period is billable.
11.4 Immobilization Safety
- Remote engine-cut commands must only be used in safe and controlled conditions.
- The Client acknowledges responsibility for any operational risks arising from misuse of immobilization.
11.5 Anti-Fuel-Theft Devices (Smart Caps & BLE Sensors)
- Smart fuel caps require correct sealing and handling.
- Physical tampering or vandalism is not covered under warranty.
12. System Availability & Performance
Translog Group Ltd. ensures platform uptime of 98%, excluding:
- Scheduled maintenance
- Third-party network disruptions
- Circumstances beyond Company control
13. Liability
- The Company shall not be liable for any loss of business, revenue, or profits arising from tracking downtime.
- Liability is limited to the total amount paid by the Client for the affected device in the last 6 months.
14. Cancellation & Early Termination
- Hosting and platform fees are non-refundable once activated.
- Order cancellation after installation attracts a 20% restocking or administrative fee plus cost of installation.
15. Confidentiality
Both parties agree to maintain confidentiality of shared business information, data, and system access credentials.
16. Governing Law
These Terms & Conditions are governed by the laws of the Republic of Kenya.
17. Acceptance
The Client accepts these Terms and Conditions upon issuing a purchase order, making payment, or signing the quotation.
